ComplySoft and its related websites provide services to you subject to the following conditions.
If you visit or shop at any of our sites, you accept these conditions. Please read them carefully. In addition, when you use any current or future ComplySoft service you also will be subject to the guidelines and conditions applicable to such service or business. DEFINITIONS
“Information” means all business, technical, financial or other information created or exchanged between the parties during the term of the Agreement whether it is of a confidential nature or not
“Hyperlink” means the ability to link to or from the company websites via a single click action
“Trade mark(s)” means all trade marks, trade names and logos belonging to the company or its affiliates
“Copyright(s)” and “Copy Protected” means all material which is the creative, intellectual and design material and words of the company (See Intellectual Property Rights)
“Intellectual Property Rights” means any and all intellectual property rights including patents, know-how, trade marks, trade names, goodwill, domain names, email addresses, copyright, logos, design right, registered design right, database right (and where applicable, any applications therefore) or any other intellectual property rights of a similar nature
Singular, Plural and gender - words denoting the singular shall include the plural and visa versa and words denoting any gender shall include all genders
This site and other company sites – the company has a corporate website but in addition has other websites for different purposes and services. All company websites are included in this agreement. The company has the right to add, change and remove websites at any time.
Headings and paragraphs – these are inserted into the Agreement for convenience of reference only and are not intended to be part of or to affect the meaning or interpretation of the Agreement

ELECTRONIC COMMUNICATIONS
When you visit any ComplySoft site or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on this site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
LICENCE AND SITE ACCESS
ComplySoft grants you a limited license to access and make personal use of this site and other company sites and not to download (other than page caching) or modify any portion, except with express written consent of ComplySoft. Any unauthorised use terminates the permission or license granted by ComplySoft. You are granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page of ComplySoft so long as the link does not portray ComplySoft, its affiliates, or their products or services in a false, misleading, derogatory, or otherwise offensive matter. You may not use any ComplySoft logo or other proprietary graphic or trade mark as part of the link without express written permission.
YOUR ACCOUNT
If you use any of the company sites, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. ComplySoft does not sell products for children. If you are under 18, you may use ComplySoft only with the involvement of a parent or guardian. ComplySoft and its affiliates reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in their sole discretion.
PRODUCT DESCRIPTIONS
ComplySoft and its affiliates attempt to be as accurate as possible. However, ComplySoft does not warrant that product descriptions or other content of this site is accurate, complete, reliable, current, or error-free.
PRICING
Except where noted otherwise, the List Price displayed for products or their updates on our website represents the full retail price in the currency chosen before any government taxes (for example VAT) and other costs (for example – shipping or postage costs) which will be added during the order confirmation process. ComplySoft shall make every effort to ensure prices are correct at the point at which the purchaser places an order. If an item's correct price is higher than our stated price, we will, at our discretion, either contact you for instructions before processing your order or cancel your order and notify you of such cancellation. Please note that this policy applies only to products sold by ComplySoft. ComplySoft reserves the right to periodically update prices on the website. ComplySoft shall not be liable to anyone for withdrawing products or services from the website or for refusing to process and order.
LICENCE, TERM AND COPY
Certain products will have a limited validity period (licence). Before expiry of the term, ComplySoft will contact the purchaser by email using the address held on the purchaser’s account on ComplySoft’s website to advise the purchaser of the pending termination of the term. The purchaser may elect to allow the term to expire and thereafter have no further access to the product as the activation key will expire or the purchaser may elect to purchase the update for the next term. This update purchase will be on the same terms and conditions as an initial purchase.
The product purchased under the licence is linked to the machine to which is was downloaded. The purchaser has no rights to copy the product to any other machine. The purchaser has the right to backup the product if this is applicable.
DELIVERY
Product purchased can be delivered to the purchaser either by download or by remittance of the goods to the purchaser depending on the product or the purchaser’s choice. Delivery will only occur after payment has been received and funds cleared whether this is via online payment of direct payment.
OTHER BUSINESSES
ComplySoft may provide links to the sites of affiliated companies and certain other businesses. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any of these businesses or individuals or the content of their Web sites. ComplySoft does not assume any responsibility or liability for the actions, product, and content of all these and any other third parties. You should carefully review their privacy statements and other conditions of use.
DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

COMPLYSOFT MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS SITE OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THIS SITE. YOU EXPRESSLY AGREE THAT YOUR USE OF THIS SITE IS AT YOUR SOLE RISK. APPLICABLE LAW
By visiting ComplySoft, you agree that the laws of the UNITED KINGDOM, without regard to principles of conflict of laws, will govern these Terms and Conditions of Use and any dispute of any sort that might arise between you and ComplySoft or its affiliates.
DATA PROTECTION
Purchaser and other client personal information will be protected in terms of the application sections of the Data Protection Act 1998. ComplySoft confirms that it will not rent or sell customer lists or contact details without the customers express prior approval.
FORCE MAJEURE
ComplySoft shall not be liable for any delay or failure to perform any obligation under this agreement if the delay or failure is caused by any circumstances beyond its reasonable control, including but not limited to acts of god, war, civil disorder or industrial dispute.
DISPUTES
Any dispute relating in any way to your visit to a ComplySoft website or to products you purchase from ComplySoft shall be submitted to confidential arbitration in England in the United Kingdom under the applicable English laws, except that, to the extent you have in any manner violated or threatened to violate ComplySoft's intellectual property rights, ComplySoft may seek injunctive or other appropriate relief in another jurisdictional court, and you consent to exclusive jurisdiction and venue in such courts. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.
SITE POLICIES, MODIFICATION, AND SEVERABILITY

We reserve the right to make changes to our site, policies, and these Terms and Conditions of Use at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
